Wells is a partner practising in the areas of financial services, corporate and commercial, mergers and acquisitions, real estate and infrastructure. He has significant experience with secured loan facilities, private equity investments, public-private partnerships and infrastructure projects.

Advice to lenders and borrowers on secured lending facilities, including credit agreements, intercreditor agreements and transactional documents, including the representation of:

  • Calgary-based pipeline firm on a $760 million syndicated credit facility
  • Winnipeg-based oil and gas producer on a $900 million syndicated credit facility
  • Calgary-based energy marketing firm on a $150 million credit facility
  • CIBC on a $475 million credit facility for a Winnipeg-based agribusiness

Advise on corporate and commercial transactions, mergers and acquisitions and private equity transactions, including:

  • Creation of several private equity limited partnerships and successful offerings in excess of $300 million of fund units
  • Private equity investments in numerous companies in excess of $300 million
  • Acquisitions of several oil transportation pipelines and related facilities
  • Overall due diligence and real estate responsibility for acquisitions of Winnipeg Hydro by Manitoba Hydro for approximately $500 million

Advise on infrastructure projects and public-private partnerships, including:

  • Acquisition by Tundra Energy Marketing Limited of the Enbridge South Prairie Region Pipeline System for $1.075 billion
  • Design, build, finance and maintain public-private partnership for construction of an extension of Chief Peguis Trail in the City of Winnipeg
  • Design, build, finance and maintain public-private partnership for redevelopment of the Disraeli Bridges in the City of Winnipeg
  • Wind farm public-private development for Manitoba Hydro
  • Inaugural chair, Planned Giving Committee for St. Paul’s Jesuit High School
  • Former member, Board of Commissioners of the Gaming Control Commission of the Province of Manitoba
  • Former member, board created to redevelop and renovate the Assiniboine Park Pavilion
  • Former member, Board of Governors of the Winnipeg Winter Club
  • Past chair, Ducks Unlimited Centre Dinner Committee
