David Hansford

David’s practice is transaction-based, involving all aspects of corporate and securities law, with an emphasis on advising public companies involved in M&A transactions and corporate finance transactions. In addition to transactional work, David advises public companies on their day-to-day securities compliance, disclosure and corporate governance matters and Canadian stock exchange issues. David also regularly assists clients with their public listings, including via reverse takeover transactions, qualifying transactions, direct listings and the restructuring of existing public companies. David advises clients across a wide range of industries, including in the technology, infrastructure and mining sectors. 

• The listing of an AI infrastructure company on the Canadian Securities Exchange via a direct listing 
• The listing of a quantum computing company on the Canadian Securities Exchange via a reverse takeover and change of business of an existing public company 
• The listing of a company involved in the acquisition and roll-up of tier II and III data centers on the TSV Venture Exchange via a qualifying transaction with a Capital Pool Company 
• The up-listing of a cannabis company from the TSX Venture Exchange to the Toronto Stock Exchange 
• The de-listing of a mining company from the Canadian Securities Exchange and re-listing of the same Company on the TSX Venture Exchange 
• The “take private” transaction of a TSX Venture Exchange-listed company via the sale of all or substantially all of the company’s assets to a private United States-based technology company and the restructuring of the remaining public company shell  
• Advised a technology company in the completion of $3.45 million in brokered LIFE financing 
• Advised an organic functional food company in the completion of a $5-million brokered LIFE financing 
• Advised a Canadian cryptocurrency trading platform on a business combination resulting in the creation of Canada’s largest regulated crypto asset trading platform
