John M. Davidson (JD)

JD focuses on mergers and acquisitions, corporate finance (both equity and debt), commercial contract negotiation and drafting, private equity, venture capital, fund formation, corporate reorganizations and tax restructuring, corporate governance, intellectual property and corporate/shareholder disputes and buyouts. He regularly sits on boards and acts as external general counsel to his clients, providing strategic guidance and advice that goes beyond the law. JD works tirelessly to be a lawyer that his clients want on their business team and brings enthusiasm and unwavering commitment to all projects he undertakes.

• Advise on corporate/commercial matters, including the various forms of business structure (corporations, partnerships, joint ventures and mutual fund trusts).
• Advise on corporate finance and securities law matters, including brokered and non-brokered private placements for both public and private companies and initial public offerings on the Canadian Securities Exchange, TSX and TSX-Venture exchanges.
• Advise on matters related to mergers and acquisitions, including Capital Pool Company qualifying transactions, takeover bids, amalgamations and Court-ordered plans of arrangement.
• Advise with respect to corporate reorganizations and recapitalizations.
• Advise clients involved in all aspects of the cannabis industry in Canada.
• Advise clients with respect to securities regulations and disclosure obligations, including the preparation of public issuer disclosure documents.
• Advise on corporate governance matters.
• Advise with respect to the completion of bank financing and the acquisition and disposition of commercial real estate.
• Assist corporations and individual shareholders with internal conflicts and disputes, including structuring buyouts and negotiating resolutions of contentious disputes.
• Working with the MLT Aikins litigation team to negotiate and resolve commercial disputes in a manner that avoids the need for protracted and costly commercial litigation.
• Assisting clients with the acquisition and development of commercial real estate projects.
• Working with MLT Aikins intellectual property team to assist clients with the protection of their IP, including through the use of trademarks, patents and copyrights.
• Working with MLT Aikins employment law team to assist clients negotiate employment and consulting agreements and resolve employment disputes.
