Steven Meng

Steven advises publicly listed and private companies as well as institutional investors and investment dealers in a variety of securities and corporate and commercial transactions. His practice focuses on domestic and cross-border mergers and acquisitions, corporate finance transactions and corporate governance matters in a broad range of industries, including mining, technology, cannabis and life sciences.

Steven completed his law degree at the University of British Columbia where he received multiple academic awards. He is bilingual in English and Mandarin.

• Counsel to Atha Energy Corp., a TSX Venture Exchange-listed uranium exploration company, in connection with its uplisting, $25 million private placement of equity securities and $267 million (transaction value) business combination transactions with Latitude Uranium Inc. and 92 Energy Limited.
• Counsel to a Silver Elephant Mining Corp. a TSX-listed diversified mineral exploration company, in its spin-out plan of arrangement transactions of two TSX Venture Exchange-listed companies and non-listed reporting issuer, concurrent/follow-on financings and stock exchange listings, mineral production agreements and other transactions.
• Counsel to Gold Mountain Mining Corp., a TSX-listed gold producer, in connection with its uplisting, multiple financing transactions, including its bought deal public offering of units for aggregate gross proceeds of $18.5 million and gold production transactions.
• Counsel to Wishpond Technologies Inc., a TSX Venture Exchange-listed technology company, in connection with its listing, concurrent private placement and follow on bought deal public offering of an aggregate of approximately $12 million and subsequent acquisition transactions including in Canada, the U.S. and Europe.
• Counsel to AbraSilver Resource Corp. (formerly AbraPlata Resource Corp.), a TSX Venture Exchange-listed mineral exploration company, in connection with its plan of arrangement transaction with Aethon Minerals Corp. and various financing transactions.
• Counsel to a private Canadian cannabis retailer in connection with acquisition transactions for business assets in Ontario and operations in Alberta and British Columbia.
• Counsel to Victory Square Technologies Inc. a Canadian Securities Exchange-listed investment company, in connection with numerous spin-out and listing transactions on the TSX Venture Exchange and Canadian Securities Exchange and concurrent/follow-on
• Counsel to Fobi AI Inc., a TSX Venture Exchange-listed technology company, in connection with numerous acquisitions in the U.S. and Europe and financings for aggregate gross proceeds in excess of $14 million.
• Counsel to Edge Total Intelligence Inc., a TSX Venture Exchange-listed technology company, in connection with its listing and concurrent financing for approximately $4.5 million and various regulatory and corporate matters.
• Counsel to PopReach Corporation, a TSX Venture Exchange-listed technology and gaming company, in connection with its reverse takeover transaction with Federated Foundry, financing matters and various U.S. acquisition transactions.
• Counsel to Emerge Commerce Ltd., a TSX Venture Exchange-listed e-commerce company, in connection with its various acquisition, disposition and financing transactions.
• Counsel to a private B.C.-based mortgage investment corporation with more than $200 million of loans under management in connection with regulatory and commercial transactions.
• Counsel to a TSX Venture Exchange-listed B.C. based cannabis retailer in connection with its listing and concurrent and follow-on financings for approximately $6.75 million.
• Counsel to various underwriters and agents in connection with private placements and prospectus financings of debt and equity securities.
• Counsel to U.S.-based specialty institutional investors in equity investments in TSX Venture Exchange-listed mining issuers.
• Counsel to publicly listed and private mining, technology, cannabis, life-sciences, real estate and other industry-based issuers.
