Tom is a corporate/commercial lawyer with extensive experience in energy and natural resources.

Tom has significant transactional experience in the energy sector, advising upstream and midstream oil and gas and oilfield services companies, in addition to corporate, receiver-manager/trustee and secured lending clients, on a variety of domestic and international energy matters. 

Tom’s experience ranges from due diligence and title review to the interpretation, negotiation and preparation of energy-related agreements. He has played a role in numerous energy transactions, including deals involving oil and gas, coal and other-mined commodities, as well as renewable energy transactions, including deals involving solar, wind and biomass projects. 

Oil and gas transactions 

  • Counsel to Wapiscanis Waseskwan Nipiy Holding Limited Partnership in its $150MM acquisition of an 85% non-operated working interest in certain Clearwater area midstream assets from Tamarack Valley Energy Ltd., via an equity investment in Clearwater Infrastructure Limited Partnership 
  • Acted on various commercial matters for a client who owns and operates a gas to fuel plant, which converts bio-syngas into fuel (including synthetic diesel fuel) 
  • Acted for an intermediate natural gas producer in its sale of an ownership interest in certain existing and future natural gas processing plants and the related joint venture processing, transportation and marketing agreements
  • Acted for an infrastructure fund on its acquisition of a midstream energy company’s natural gas gathering and processing business in the Montney, Peace River Arch, Horn River and Liard basins in BC and Alberta for $4.3 billion
  • Acted for an international energy company and its affiliates with the acquisition of a participating interest in the LNG Canada project

Oilfield services transactions 

  • Acted for a Canadian oilfield services company on the sale of its well servicing business 
  • Acted for a Canadian upstream consumables supplier on its acquisition of a proppant mine and related business
  • Acted for a Canadian upstream consumables supplier in relation to a transaction whereby it assumed all operations, distribution and sale of domestic frac sand from a Western Canadian mining facility 

Mining transactions 

  • Acted for an international lender on a $85,000,000 term loan facility financing transaction with a potash producer in relation to the completion of the remaining construction and development of its potash project in Saskatchewan 

Insolvency experience 

  • Acted for the court-appointed receiver of a Canadian public oil and gas company on the sale of its assets to various parties 
  • Acted for the court-appointed receiver of Regent Resources on the sale of its assets to various parties
  • Acted for the court-appointed receiver of LGX Oil + Gas on the sale of its assets to various parties 

Renewable energy experience 

  • Acted for the special committee of the board of directors and the board of trustees of a midstream energy company, overseeing due diligence, regarding the acquisition by a related entity of certain renewable energy assets 
  • Advised on the sale of a waste heat facility
