• Counsel to Saskatchewan Government Insurance on its digital transformation project, including preparation and negotiation of agreements for the implementation and integration of new technology solutions for its property and casualty and automotive insurance divisions

• Counsel to Farm Credit Canada in the negotiation of agreements for the provision, implementation and sustainment of an enterprise-wide cloud-based financial system and software platform
• Counsel to Information Services Corporation and Enterprise Registry Solutions Ltd. on the preparation and negotiation of agreements with the Government of Nova Scotia for the transformation and development of a new electronic registry solution for the Nova Scotia Registry of Joint Stock Companies
• Counsel to a consortium of Canadian-based technology companies on the structuring, preparation and negotiation of agreements with the Government of Saskatchewan for the transition, integration and ongoing support of an online business system to support the development and regulation of Saskatchewan’s energy and resources industry
• Counsel to Solvera Solutions on the preparation and negotiation of various agreements with the Government of Saskatchewan relating to the modernization and development of a number of information technology systems and applications within the Government’s Information Management Systems (IJIMS) portfolio
• Counsel to Information Services Corporation in connection with the modernization, transformation and development of a new electronic land registry system for the Yukon Territory
• Counsel to two crown corporations in the negotiation of a master agreement for the supply of a managed customer billing solution
• Counsel to Information Services Corporation in connection with its acquisition of ESC Corporate Services
• Counsel to Federated Cooperatives Limited in connection with the successful application and registration of its “.crs” privately owned and managed top-level domain (gTLD)
• Counsel to eHealth Saskatchewan and the Saskatchewan Medical Association (SMA) in connection with the procurement, contracting and implementation of various Electronic Medical Record (EMR) systems for Primary Health Care (PHC) health-care providers and medical practitioners and clinics throughout Saskatchewan
• Counsel to Information Services Corporation in the negotiation and implementation of a 20-year master services agreement with the Government of Saskatchewan for the operation of all of the major Saskatchewan public registries by ISC in connection with its initial public offering by way of secondary offering, for gross proceeds of nearly $170 million
• Counsel to SaskPower and SaskEnergy in respect of its multi-vendor advanced metering infrastructure (AMI) system
• Counsel to Health Shared Services Saskatchewan (3sHealth) in the negotiation and documentation of a long-term contract for the supply of laundry and linen services for the province of Saskatchewan
• Counsel to the Saskatchewan Health Shared Services Initiative in connection with the formation, organization and development of Health Shared Services Saskatchewan (3sHealth)
• Counsel on Saskferco Products LLC $1.6-billion sale to Yara International ASA (named the 2008 Canadian Inbound Acquisition of the Year by Lexpert Magazine)

Nathan has acted as counsel in a wide variety of technology-related transactions, including business-process and technology-based outsourcing; software and systems implementation, development and integration, systems support and maintenance; reseller and distribution arrangements; fintech and payment platform development, emerging blockchain technology, internet and e-commerce; cloud services; procurement of information technology and technology transfer. He has significant experience negotiating and drafting outsourcing, system development, system acquisition/integration, software licensing, support and maintenance agreements, cloud computing agreements (SaaS, IaaS, PaaS), application development agreements, payment system agreements, service bureau, reseller and distribution agreements, master services agreements, consulting services agreements, and technology transfer agreements. He also provides technology-related advice on both domestic and cross-border purchase and sale transactions and financings.

In addition, Nathan assists both private and public sector clients in managing cybersecurity and privacy risks, conducting strategic risk assessments, and developing effective risk-mitigation, governance and incident response planning. Nathan also acts as “breach counsel” for clients  in response to a variety of cybersecurity and data breach incidents including ransomware attacks, business email compromise (BEC) and financial fraud, “hacking and phishing attacks” by external threat actors, DDoS attacks and breaches involving lost and stolen devices and information.
