Scott practises primarily in the area of taxation. He has extensive experience in tax planning for private and public entities and investment funds, corporate reorganizations, mergers and acquisitions, and tax dispute resolution.

  • Planning and implementation of various reorganizations of closely-held corporate, partnership, and trust structures to address domestic and cross-border tax issues
  • Reviewing purchase agreements and providing advice on federal and provincial tax issues in relation to mergers and acquisitions involving public companies and large private companies
  • Preparing and reviewing tax provisions of public offering documents for the issuance of securities by public companies and real estate investment trusts
  • Drafting various business acquisition agreements, shareholder agreements, partnership agreements and joint venture agreements
  • Planning and implementation of the purchase and sale of various businesses including professional practices, franchises and other businesses in industries such as financial services, agriculture and transportation
  • Acting as domestic tax counsel to Canadian residents in respect of purchase and sale transactions involving U.S. business interests
  • Resolving taxpayer disputes with Canada Revenue Agency and provincial tax authorities at the audit, appeal and collections stages
  • Preparing pleadings and assisting with pre-trial matters in the Tax Court of Canada, Federal Court of Appeal and provincial superior and appellate courts
